Assistant Company Secretary

The Role: You will be responsible for providing a high level of professional administrative support in the day to day company secretarial duties for the Company and two substantial regulated entities.
Key Responsibilities:
- Undertaking the maintenance of the Company's statutory records along with all in house subsidiary/nominee companies.
- Managing the Company's internal governance record keeping.
- Assisting with the preparation and circulation of papers for Board, Committee and shareholder meetings.
- Supporting the Company Secretary in any research or project related work.
- Assisting the Company Secretary in developing and implementing appropriate corporate governance policies and procedures for the Company.
- In association with the Compliance Department, monitoring the Company's compliance with the AML/CFT Rules, Companies Act, Collective Investment Schemes Regulations and FSA license conditions.
- Liaising with the Compliance department in regards to regulatory notifications for the Company.
- Assisting the Company Secretary in developing and implementing appropriate corporate governance policies and procedures for the Company.
- In association with the Compliance Department, monitoring the Company's compliance with the AML/CFT Rules, Companies Act, Collective Investment Schemes Regulations and FSA license conditions.
- Liaising with the Compliance department in regards to regulatory notifications for the Company.
- Overseeing the maintenance of the client's statutory records and any associated subsidiaries.
- Managing the client's internal corporate governance record keeping.
- Drafting minutes for Board, Committee and Shareholder meetings.
- Drafting and arranging weekly NAV publications and any other regulatory announcements.
- Supporting the listed client in relation to its requirements under the TISE Model Code.
- Monitoring and updating the Client's Person Discharging Material Responsibilities (“PDMR”)/insider lists.
- Collation / preparation and circulation of papers for Board, Committee and Shareholder meetings.
- Assisting with the drafting of Offering Documents or associated regulatory documentation.
- Managing the administrative formalities for property purchases.
- Assisting the Company Secretary in developing and implementing appropriate corporate governance policies and procedures for the clients.
- Monitoring the client's compliance with the AML/CFT Rules, Companies Act, Collective Investment Schemes Regulations and FSA license conditions.
- Assisting and advising the listed client in their compliance with TISE regulations.
- Completing/updating client and business risk assessments after trigger events.
- Diary management for client meetings.
- Reviewing marketing material for regulatory considerations.
Key Skills and Experience:
- Working knowledge of statutory related operating systems to be used by the Company/Clients.
- Working knowledge of Stock Exchange Regulations and Corporate Governance practices.
- Knowledge and appreciation of compliance matters that relate to the provision of collective investment schemes and licensed entities.
- Excellent verbal and written communication skills.
- Excellent planning and organisational skills.
- The ability to work under pressure, cope with changing demands and priorities, and manage your own workload within specific timing deadlines
- Prior experience in senior role within a CSP or fund administration environment.
- Hold or be working towards a relevant professional qualification.
