Our client is seeking an Assistant Manager to join their Company Secretarial and Trust Administration Team.
The successful candidate will report to the board of directors in relation to their portfolio of entities, and liaise with banks, appointed investment advisors, legal advisors, agents in other jurisdiction and other relevant parties. Ideally, you will hold a relevant qualification (i.e. STEP, ICSA) and possess excellent knowledge company accounting principles and procedures.
Key Responsibilities:
- Provide investment administration and elements of fund administration for global fund of funds and South African private equity funds.
- Provide investment administration for incentivisation structures.
- Provide company secretarial administration for several different jurisdictional investment holding entities.
- Working in close collaboration with appointed investment advisors based in the UK and other jurisdictions.
- Reviewing and drafting of investment contracts and agreements.
- Reviewing and drafting of shareholder agreements, loan agreements and other necessary legal documentation.
- Responsible for fund manager updates including KYC, FATCA and CRS confirmations.
- Management of client monies and investing of the same where appropriate.
- Administering of proceed payments to the family and 3rd party investors.
- Organising and attending board meetings, shareholder meetings and client meetings, including preparation of agenda, notices and board packs, taking minutes;
- Responsible for administration work actions which arise from the board meetings;
- Preparation of correspondence and documentation including minutes, board reports, agreements, statutory records and ancillary documents.
- First point of contact for queries regarding Investment administration.
- Key relationships with the appointed investment advisors, board members and legal counsel.
- Dealing with third parties, including brokers, bankers, asset managers, property agents, lawyers, accountants and statutory bodies on a regular basis.
- Working closely with and supporting other team members.
- Adhere to the various jurisdictions.
- Keep up-to-date with relevant changes in legislation and best practice guidelines.
- Ensure all entities and structures are administered in accordance with applicable laws, relevant constitutional documents, and group policies and procedures.
- Maintenance of trust and company records in accordance with internal compliance and other statutory requirements.
- Review of statutory financial statements ensuring they are drafted in accordance with statutory requirements.
Key Skills & Experience:
- Preferably STEP or ICSA qualified and/or an investment administration qualification.
- At least 5 years' experience working in a company Secretarial team with Company and Trust Administration experience.
- Good working knowledge of IOM Anti-Money Laundering legislation, together with other current compliance legislation.
- Knowledge of Company Law and related corporate governance practices in various jurisdictions.
- Strong attention to detail.
- Excellent organisational and time management skills.
- The ability to prioritise, set and work accurately to tight deadlines.
- Strong understanding of beneficial ownership.
- Highly motivated and enthusiastic.
- Strong written and oral /communication skills.
