Corporate Governance & Operations Manager

Isle of Man
Permanent
Our client seeks a Corporate Governance & Operations Manager to join their team.

Role Profile:  The primary purpose of the role is to serve as a director of the group's Isle of Man virtual asset business, which is registered with the Isle of Man Financial Services Authority as a Designated Business. Strong corporate governance is a core part of the appointment.   Alongside the director role, the successful candidate will take responsibility for board governance, company administration and governance processes across the wider group, while also providing practical support with bookkeeping, financial administration and other operational matters.   As a start-up role in a lean team, it requires a hands-on approach.

Key Responsibilities:
Director responsibilities:
  • Serve as a director of the Isle of Man virtual asset business, subject to applicable regulatory requirements.
  • Participate meaningfully in the management, oversight and development of the business and contribute to material decisions.
  • Exercise independent judgement and appropriate challenge in carrying out director responsibilities.
  • Maintain an appropriate understanding of the business model, activities, financial position, key risks and regulatory environment.
  • Review material agreements, policies, transactions and corporate actions where board approval is required.
  • Work closely with the other directors, management, compliance function and professional advisers, including supporting regulatory engagement where board involvement is required.
Corporate governance and company administration:
  • Coordinate board and shareholder meetings and prepare agendas, board packs, minutes and written resolutions.
  • Maintain statutory books, registers, corporate records and governance calendars, ensuring governance records are complete, accurate and kept up to date.
  • Manage annual returns, corporate filings and key deadlines.
  • Track board actions and ensure decisions are properly documented, assigned and followed through.
  • Support incorporations, restructurings, changes of officers and other corporate actions.
  • Support consistent and proportionate corporate governance and company administration across other group entities where required.
  • Liaise with accountants, lawyers, banks, corporate service providers and other professional advisers.
Bookkeeping and financial administration:
  • Maintain a good working awareness of the group's financial records and position.
  • Assist with basic bookkeeping, transaction recording, bank reconciliations, invoices and payments.
  • Work with Xero or similar accounting software.
  • Prepare information for external accountants and support year-end accounting requirements.
  • Review basic financial information and identify matters that should be escalated to management or the board.
Startup and operational support:
  • Take ownership of issues and follow them through rather than operating within a narrowly defined remit.
  • Move comfortably between board-level responsibilities and practical day-to-day tasks.
  • Support wider operational and administrative matters where required.
  • Help build and improve internal processes as the business develops.

Key Skills and Experience:
  • Relevant professional and business experience appropriate for appointment as a company director.
  • A good understanding of directors' duties, board responsibilities and sound corporate governance.
  • Experience working with companies, boards, senior management or business owners.
  • Experience preparing, reviewing or working with board minutes, resolutions and corporate documentation.
  • Practical bookkeeping knowledge and good financial awareness, including the ability to understand basic accounting records and management information.
  • Sound judgement, commercial awareness and confidence to ask questions and challenge appropriately.
  • Strong organisational skills and the ability to work independently and manage multiple priorities.
  • A practical, hands-on approach and willingness to contribute across different areas of the business as required.
Desirable:
  • Previous experience as a company director.
  • Experience with Xero or similar accounting software.
  • Experience within fintech, digital assets, regulated or technology-led businesses, or a relevant professional qualification.

Working Environment:
The role is based from the company's office on Athol Street in Douglas, with flexibility to work from home. The business operates as a start-up with a relatively lean team, so responsibilities will sometimes cross traditional functional boundaries. The successful candidate should be comfortable moving between director responsibilities, corporate governance, company administration, bookkeeping and wider operational matters depending on what the business requires.

Regulatory and Appointment Requirements:
Applicants must be resident in the Isle of Man. Appointment to the board of the Isle of Man virtual asset business will be subject to the applicable Isle of Man Financial Services Authority requirements, including any required assessment or non-objection process.
