Our client seeks a Company Secretary to join their team.
 
Key Responsibilities:
  • Assist, advise and support members of the Boards acting with integrity and independence to protect the interests of the group companies.
  • Ensuring compliance with relevant legal and regulatory requirements and translate these into robust procedures and practices.
  • Oversee adherence to procedures within the governance framework and that Board members act in accordance with lawful obligations .
  • Convening and servicing Board meetings, including preparing agendas, recording minutes, conveying decisions, tracking actions, managing meeting correspondence and monitoring post-meeting actions and facilitating follow ups.
  • Drafting and facilitating Board Resolutions, acting as point of liaison for Boards and Directors in relation to corporate governance matters.
  • Provide training and support to Directors and senior leadership team on corporate governance matters.
  • Actively keep up to date with any regulatory and statutory changes and policies that might affect the organisation.
  • Implement processes and procedures to promote effective management of the organisation and compliance with legislation.
  • Manage company and staff insurance policies and renewals (D&O, PI, Cyber and Employers Liability insurance).
  • Facilitating the execution of agreements and contracts in line with internal signing authority and delegation of authority protocols.
  • Preparing of reports and compilation of information relevant to role.
  • Maintenance of statutory registers, minute books and other corporate records.
  • Maintenance of corporate structure and organisational charts
  • Facilitating the opening of bank accounts and assisting with maintenance of corporate signatory lists and access rights.
 
Key Skills & Experience:
  • Previous experience in a Company Secretary role.
  • Hold or be working towards a relevant Company Secretary qualification.
  • Accustomed to working directly with Boards and senior management team.
  • Strong administrative skills and proficiency with IT software.
  • Experience working within a multi-jurisdictional company or group operating cross-border services.
  • Experience using SharePoint and DocuSign is advantageous.
  • Excellent organisational and time management capabilities with meticulous attention to detail.
  • Discretion and diplomacy.
  • Strong interpersonal skills, maintaining positive working relationships with others.
