Our client is looking for an experienced Company Secretary, based in the Isle of Man, to play a key role in delivering group-wide company secretarial service. You will be working for a large, privately owned group of companies with entities in the Isle of Man, UK and Jersey.  
 
The Role:
You will provide a comprehensive, hands-on company secretarial service across the Group, including:
  • Acting as company secretary for Isle of Man, UK and Jersey entities.
  • Supporting boards and shareholders through the effective organisation of meetings, including agendas, papers, minutes and follow-up actions
  • Preparing and filing annual returns, confirmation statements and other statutory filings in all relevant jurisdictions.
  • Maintaining statutory registers, corporate records and beneficial ownership information on the company secretarial system.
  • Managing incorporations, restructurings and dissolutions of companies and related trust structures.
  • Keeping up to date with relevant company law and registry requirements and supporting any updates to processes and documentation.
  • Liaising with trustees, banks, advisers and internal teams (legal, tax, finance, etc.).
  • This is a hands-on role: as well as more technical matters, you will personally handle day-to-day administration such as updating registers and systems, preparing filings and checklists, bank account opening, chasing signatures and information, and managing digital filing.
 
Key Skills and Experience:
  • ICSA / CGI (Chartered Governance Institute) qualified or part-qualified, or an equivalent legal / company secretarial qualification preferred.
  • Strong academic background and evidence of ongoing professional development.
  • Solid experience in a company secretarial or corporate administration role in a multi-entity, multi-jurisdiction, trust/corporate services, family office, or professional services environment.
  • Strong working knowledge of Isle of Man, Jersey and UK company law and experience with JFSC requirements is highly desirable.
  • Hands-on experience of statutory filings, maintaining registers, drafting minutes/resolutions and managing incorporations/dissolutions.
  • Comfortable using company secretarial and document management systems.
  • Highly organised, accurate and able to manage a large and varied workload to tight deadlines.
  • Clear and confident communicator, able to work with senior stakeholders and external parties.
  • Happy to roll up your sleeves and deal with routine administration as well as more technical company secretarial work.
