Independent Non-Executive Director
 
Our client seeks an Independent Non-Executive Director & Chair of the Audit, Risk and Compliance Committee to join their team.
Role Profile: The Independent Non-Executive Director (INED) provides independent oversight, strategic guidance, and constructive challenge to the executive leadership of the group, while remaining removed from day-to-day operations. As Chair of the Audit, Risk and Compliance Committee, the INED leads the Board's oversight of financial reporting, internal controls, risk management, and regulatory compliance across a multi-jurisdictional financial services group. INEDs are expected to contribute creatively to Board discussions and take decisions objectively in the interests of the Company.  All directors must take decisions objectively in the interests of the Company
Key Responsibilities:
Strategic Direction
  • Contribute to the development and scrutiny of group-wide strategy. Ensure strategic plans reflect the regulatory and operational realities across both jurisdictions.
Monitoring Performance
  • Evaluate executive performance against strategic and operational objectives. Oversee succession planning and ensure continuity of leadership and governance across the group.
Stakeholder Engagement
  • Represent the group externally, including with regulators, investors, and industry bodies in both the UK and Isle of Man. Support the group's reputation and relationships across jurisdictions.
Governance
  • Promote high standards of corporate governance across the group. Support the Board in applying appropriate governance codes and ensuring consistency across jurisdictions. The company adheres to the QCA Corporate Governance Code and expects all directors to support its principles and practices.
Audit, Risk and Compliance Committee Chair Responsibilities
  • Lead the Committee in overseeing the integrity of the group's financial statements and disclosures.
  • Ensure the effectiveness of internal controls, audit processes, and risk management frameworks.
  • Monitor compliance with regulatory obligations in both the UK and Isle of Man.
  • Liaise with internal and external auditors, ensuring independence and effectiveness.
  • Review and challenge the adequacy of compliance policies, procedures, and reporting.
  • Ensure timely escalation of significant audit, risk, or compliance issues to the Board.
  • Provide assurance to the Board on the robustness of the group's control environment.
Additional Responsibilities
  • Attend all scheduled Board meetings (minimum four annually) and relevant committee meetings.
  • Contribute meaningfully to Board discussions and decisions.
  • Approve the annual budget and business plan.
  • Uphold ethical standards and legal duties as a director.
  • Declare any conflicts of interest and comply with disclosure requirements.
 
Key Skills & Experience:
  • Fully Qualified Accountant (ACCA/ACA). Essential
  • Financial Services: Experience in managing in a regulated market financial services company, including lending and compliance.
  • Audit & Financial Oversight: Have up-to-date knowledge of financial reporting (IFRS), audit processes, and internal controls.
  • Risk Management: Proven experience in identifying and managing strategic, operational, and regulatory risks.
  • Governance & Regulation: Familiarity with AIM Rules, UK and Isle of Man regulations, and governance codes.
  • Commercial Acumen: Strong business instincts and strategic insight.
  • Integrity & Independence: Ethical conduct, sound judgment, and commitment to the group's interests.
  • Leadership: Ability to lead committee discussions and drive effective oversight.
  • Commitment: Active engagement and genuine interest in the group's mission and performance.
